Usage-Based Billing Policy

Client Harbor provides certain services that are billed based on actual usage rather than a fixed monthly subscription fee. This Usage-Based Billing Policy explains how usage-based charges are calculated, billed, and collected.
By using Client Harbor services that incur usage-based fees, you agree to the terms outlined in this policy.
What Is Usage-Based Billing?
Usage-based billing refers to charges that are based on the actual consumption of specific services and resources within the Client Harbor platform.
Examples of usage-based services may include, but are not limited to:
- SMS messaging
- MMS messaging
- Phone calls
- Call recording and storage
- Email sending volume
- AI-related services
- Premium integrations
- Third-party communication services
- Other metered platform resources
Usage-based services are billed separately from any monthly or annual subscription fees unless otherwise stated.
Third-Party Service Costs
Many usage-based services rely on third-party providers, including telecommunications carriers, messaging providers, email delivery providers, artificial intelligence providers, and other external service vendors.
Because these costs may change over time, Client Harbor reserves the right to adjust usage-based pricing when necessary to reflect changes imposed by third-party providers.
Pricing updates may be posted within the platform, billing portal, pricing documentation, or otherwise communicated to customers.
Billing Responsibility
Account holders are responsible for all usage generated through their account, including usage generated by:
- Authorized users
- Team members
- Employees
- Contractors
- Automated workflows
- Integrated applications
- API connections
It is the responsibility of the account owner to monitor account activity and usage levels.
Automatic Billing Authorization
By using services that incur usage-based charges, you authorize Client Harbor to charge the payment method on file for all applicable usage fees.
Usage charges may be billed:
- Immediately upon usage
- Daily
- Weekly
- Monthly
- Upon reaching billing thresholds
The billing schedule may vary depending on the service utilized and platform configuration.
No Usage Guarantees
Client Harbor does not guarantee any minimum or maximum level of usage.
Actual usage may vary significantly based on:
- Marketing activity
- Customer communication volume
- Automation workflows
- Team activity
- Business growth
Customers are solely responsible for managing usage levels within their accounts.
Monitoring Usage
Client Harbor may provide reporting tools, dashboards, or usage summaries to help customers monitor resource consumption.
However, the availability of reporting information does not limit a customer's responsibility for all charges incurred through their account.
Customers are encouraged to regularly review account activity and billing information.
Pricing Changes
Usage-based rates may change from time to time.
Client Harbor reserves the right to modify pricing for usage-based services at any time.
When practical, notice of pricing changes may be provided through:
- Platform notifications
- Email communications
- Billing notices
- Pricing documentation
Continued use of applicable services after pricing changes become effective constitutes acceptance of the updated pricing.
Failed Payments
If a payment method fails or becomes invalid, Client Harbor may:
- Retry payment collection
- Suspend access to certain services
- Restrict usage-based functionality
- Suspend the account
- Terminate the account for nonpayment
Customers are responsible for maintaining accurate and current payment information.
Disputed Charges
If you believe a usage-based charge has been billed incorrectly, you must notify Client Harbor in writing within thirty (30) days of the applicable charge.
Failure to dispute charges within this timeframe may constitute acceptance of the billing amount.
Client Harbor reserves the right to investigate all billing disputes and determine appropriate resolutions.
No Refunds for Consumed Usage
Usage-based services are consumed in real time and generally cannot be reversed once delivered.
Accordingly, usage-based charges are typically non-refundable once services have been utilized, including but not limited to:
- Messages sent
- Calls completed
- Emails delivered
- AI requests processed
- Third-party service consumption
Any exceptions shall be determined solely at the discretion of Client Harbor.
Account Suspension for Excessive Usage
Client Harbor reserves the right to temporarily suspend or limit account activity if usage appears:
- Fraudulent
- Abusive
- Unauthorized
- Excessive
- In violation of applicable laws or platform policies
Such actions may be taken to protect platform integrity, customers, third-party providers, or network resources.
Compliance With Communication Regulations
Customers utilizing messaging, calling, email, or communication-related services remain fully responsible for complying with all applicable laws, regulations, carrier requirements, and industry standards.
This includes, but is not limited to:
- A2P 10DLC requirements
- TCPA regulations
- CAN-SPAM requirements
- Carrier messaging rules
- Consumer consent requirements
- Privacy regulations
Usage charges remain payable regardless of compliance violations committed by the customer.
Limitation of Liability
Client Harbor shall not be liable for:
- Carrier fees
- Third-party pricing changes
- Delivery failures
- Usage fluctuations
- Customer-generated charges
- Indirect or consequential damages related to usage-based services
Customers assume responsibility for monitoring and managing their account activity.
